Brand Ambassador Terms of Service & Agreement

Ambassador Program Terms of Service [updated 2023]

These terms and conditions (the "Agreement") govern the Ambassador Program ("Program") offered by NO MOONS LLC ("Brand"). By participating in the Program, you ("Ambassador") agree to be bound by these terms and conditions.

    1. Program Description: The Program is designed to reward Ambassadors for promoting Brand's products and services. Ambassadors will be provided with free or discounted NO MOONS merchandise and a campaign description.
    2. Eligibility: To be eligible for the Program, Ambassadors must be at least 18 years of age. Brand employees, contractors, and their immediate family members are not eligible to participate in the Program.
    3. Rewards: Rewards may be in the form of discounts, free products, or other benefits as determined by Brand in its sole discretion. Rewards are non-transferable and have no cash value.
    4. Brand Rights: Ambassadors grant NO MOONS LLC the right to use any "submissions" [multimedia content: images; videos; audio and/or text] provided by the Ambassador for marketing, advertising, and other promotional purposes indefinitely. NO MOONS LLC may use these images or videos in email campaigns, social media posts, advertisements, and on the Brand's website. The brand has the right to edit the content for length, quality, or other factors to ensure that it aligns with the brand's image and values. Ambassadors acknowledge that NO MOONS LLC is the sole owner of all intellectual property rights in such images or videos and that no compensation will be paid to Ambassadors for their use.
    5. Termination: NO MOONS LLC may terminate an Ambassador's participation in the Program at any time for any reason. Ambassadors may also terminate their participation in the Program at any time by notifying Brand in writing.
    6. Disclaimer: The Program is provided on an "as is" basis without warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability or fitness for a particular purpose.
    7. Limitation of Liability: In no event shall NO MOONS LLC be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Program, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses.
    8. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Washington DC, without giving effect to its conflicts of law provisions.
    9. Entire Agreement: This Agreement constitutes the entire agreement between NO MOONS LLC and Ambassador regarding the Program and supersedes all prior agreements and understandings, whether written or oral.
    10. Modification: NO MOONS LLC may modify this Agreement at any time in its sole discretion. NO MOONS LLC will provide notice of any modifications to Ambassadors by posting the modified Agreement on the Brand's website or by sending an email to Ambassadors. Ambassadors who continue to participate in the Program after the effective date of any modifications will be deemed to have accepted the modified Agreement.

By participating in the Program, Ambassadors acknowledge that they have read, understood, and agree to be bound by this Agreement.
